Terms & Conditions

These Terms and Conditions ("Terms") govern your use of the Secarto mobile application and related services (the "Service"), operated by Secarto ("Secarto", "we", "us", or "our"), a company registered in England and Wales. By accessing or using the Service, you agree to be bound by these Terms.

1. Account Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information and to update it as needed. You are responsible for safeguarding your credentials and for all activities under your account.

2. The Service

Secarto provides art portfolio management tools, including artwork cataloguing, image storage, valuation request facilitation, and insurance introduction services. The Service may in future include gallery integration features enabling data sharing with partner galleries. The Service is provided on an "as is" and "as available" basis.

3. Gallery Integration and Data Sharing

3.1 Gallery Membership Linking

The Service may in future allow you to link your Secarto account to a partner gallery ("Gallery Linking"). Where this feature is available and you choose to link your account to a gallery — either by signing up as a gallery member through Secarto or by connecting an existing gallery relationship — this would activate bidirectional data sharing between Secarto and that gallery.

3.2 What Gallery Linking Would Mean

By activating Gallery Linking, you would understand and agree that:

Gallery to Secarto: Your linked gallery may transfer artwork records, images, transaction history, valuation records, certificates of authenticity, and related portfolio information to Secarto to populate and enrich your portfolio within the Service.

Secarto to Gallery: Secarto may share information you add or update within the Service — including artwork details, images, portfolio changes, and relevant account information — with your linked gallery to enable the gallery to provide its services to you effectively.

Ongoing synchronisation: While Gallery Linking is active, data may be shared on an ongoing basis to keep records consistent and up to date across both systems. This may happen automatically when records are created or updated in either system.

3.3 Your Consent and Control

Gallery Linking would be entirely optional. You would not be required to link your account to any gallery in order to use the core portfolio management features of the Service.

If and when you activate Gallery Linking, you would consent to the bidirectional sharing of your personal data and artwork data between Secarto and your linked gallery as described in these Terms and in our Privacy Policy.

You would be able to unlink your account from a gallery at any time through the Service settings. Unlinking would stop future data sharing but would not automatically delete data that has already been shared. To request deletion of previously shared data, please refer to Section 6 of our Privacy Policy.

3.4 Joint Controller Arrangement

Where Gallery Linking is active, Secarto and your linked gallery would act as joint controllers of your personal data under the UK GDPR for the purposes of the integrated portfolio service. The details of this joint controller arrangement, including how responsibilities would be allocated and how you could exercise your data protection rights, are set out in our Privacy Policy (Section 3).

3.5 Gallery Obligations

Any partner gallery that participates in Gallery Linking would be required by its agreement with Secarto to process your data in compliance with UK data protection law, to maintain appropriate security measures, and to cooperate with Secarto in fulfilling your data protection rights. However, Secarto would not be liable for the acts or omissions of any gallery in respect of data held within the gallery's own systems.

4. Insurance Introduction

Secarto acts solely as an insurance introducer. We do not provide insurance advice, recommendations, or underwriting services. Any insurance contract will be between you and the insurance provider directly. Secarto is not responsible for the terms, conditions, or performance of any insurance policy. Where you request an insurance introduction, relevant portfolio and valuation information will be shared with the insurance provider only to the extent necessary to facilitate the introduction.

5. Valuations

Valuations facilitated through the Service are provided by third-party valuation professionals. Secarto does not guarantee the accuracy of any valuation. Valuations are provided for informational and insurance purposes only and should not be relied upon as the sole basis for financial decisions.

6. User Content

You retain ownership of all content you upload to the Service, including photographs, documents, and artwork descriptions. By uploading content, you grant Secarto a non-exclusive, worldwide licence to use, store, reproduce, and process this content solely for the purpose of providing and improving the Service, including sharing with a linked gallery where Gallery Linking is active as described in Section 3.

Where your content is shared with a linked gallery under Gallery Linking, the gallery's use of that content would be governed by the gallery's own terms and conditions and its agreement with Secarto.

7. Acceptable Use

You agree not to use the Service for any unlawful purpose; to upload content that infringes the intellectual property rights of others; to attempt to gain unauthorised access to the Service or other users' data; to interfere with or disrupt the Service; or to distribute harmful content.

8. Fees and Payment

Certain features may require payment. All fees are stated in pounds sterling and are inclusive of VAT where applicable. We reserve the right to change fees upon reasonable notice.

9. Limitation of Liability

To the fullest extent permitted by law, Secarto shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Our total liability shall not exceed the amount you have paid to us in the twelve months preceding the claim.

Without limiting the foregoing, Secarto is not liable for the accuracy, completeness, or timeliness of any data received from a partner gallery, nor for any loss or damage arising from the gallery's processing of data shared by Secarto under a Gallery Linking arrangement.

10. Intellectual Property

The Service, including its design, features, and technology, is owned by Secarto and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

11. Termination

We may terminate or suspend your account for violation of these Terms. You may close your account at any time by contacting us. Upon termination, your right to use the Service ceases and any active Gallery Linking would be deactivated. You may request export of your data prior to account closure. Termination would not automatically delete data previously shared with a linked gallery — you should contact the gallery directly if you wish that data to be deleted.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via the Service or by email. Continued use after changes constitutes acceptance. For questions about these Terms, please contact us at hello@secarto.co.uk.
